Agreement Overview

These Terms and Conditions ("Terms") govern your relationship with Astro-Techs ("we," "our," or "us") regarding the use of our services, website (www.astro-techs.com), and any related applications.

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access our services.

Acceptance of Terms

By accessing and using Astro-Techs's services, website, or any related applications, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our services.

Services Description

Astro-Techs provides comprehensive IT services including but not limited to: • Software Development & Custom Solutions • Website & Web Application Development • Mobile App Development (iOS & Android) • IT Support & Maintenance Services • Graphics Design & Branding • Digital Marketing & SEO Services • Networking & Security Solutions • IT Training & Tutoring • Payment Solutions Integration • Technical Consultancy We reserve the right to modify, suspend, or discontinue any service at any time without prior notice.

Payments & Billing

Payment Terms: • Projects typically require a 50% upfront payment with balance upon completion • Recurring services are billed monthly/quarterly as agreed • All prices are in USD unless otherwise specified • Late payments may incur additional fees or service suspension • Refund policies vary by service type and are outlined in project agreements

Service Scope & Deliverables

Service Delivery: • Services are delivered as agreed in official quotations, invoices, or signed contracts • Project scope is defined in the project agreement and any deviations may require additional agreements • Astro-Techs reserves the right to pause ongoing work if payments are delayed • For custom software development: Source code and digital assets remain Astro-Techs property until full payment is received • For standard services (websites, design, etc.): Deliverables are provided upon project completion as per agreement

Project Management & Delays

Timelines & Responsibilities: • Delays caused by lack of content, approvals, or client responses may extend delivery timelines • Client is responsible for providing timely feedback and required materials • Project timelines are estimates and may be adjusted based on client cooperation • Astro-Techs is not responsible for delays caused by client-side factors

Intellectual Property

Ownership Rights: • Pre-existing intellectual property remains with respective owners • Custom developed solutions become client property upon full payment • Astro-Techs retains rights to reusable code components and frameworks • Clients grant Astro-Techs permission to display completed work in our portfolio • All source code, designs, and documentation are protected by copyright laws

Limitations of Liability & Security

Liability & Security Provisions: • Astro-Techs implements standard security measures but cannot be held liable for: - Cyber-attacks, malware, or security breaches - Third-party service outages or failures - Server downtime beyond our control - Client data loss without proper backups • Maximum liability limited to amount paid for specific service • Clients are responsible for maintaining adequate data backups • We are not liable for indirect, incidental, or consequential damages

Project Timelines & Deliverables

Project Management: • Estimated timelines are provided in project proposals • Delays caused by client feedback or requirements changes may affect deadlines • Regular progress updates are provided throughout projects • Acceptance testing periods are specified in project agreements • Final deliverables are subject to client approval and sign-off

Service Suspension & Disconnection

Consequences of Late/Missed Payments: • Suspension of system functionality and features • Restricted access to admin dashboards and control panels • Temporary disconnection of hosted services • Service restoration only after outstanding balances are cleared • Hosting and maintenance services are subscription-based and require timely renewal

Revisions, Refunds & Cancellation

Revision & Cancellation Policy: • Limited revisions provided as stated in project contracts • Additional revisions beyond agreed limits may incur extra charges • Payments for completed services are non-refundable • Cancellation mid-project requires payment for work already completed • No refunds for services already rendered or delivered

User Responsibilities

Accurate Information

Provide truthful and complete information for project requirements

Timely Feedback

Respond to queries and provide feedback within agreed timeframes

Payment Obligations

Make payments according to agreed schedules and terms

Data Accuracy & Legality

Ensure all provided data is accurate, complete, and legally compliant

Content Provision

Provide required content and approvals in a timely manner to avoid project delays

Security Cooperation

Cooperate with security measures and maintain access credentials securely

Termination & Changes

Termination: Either party may terminate service agreements with 30 days written notice. Outstanding payments remain due upon termination. Astro-Techs may suspend services immediately for payment violations.

Amendments: We reserve the right to update these Terms & Conditions at any time. New terms will be communicated to clients prior to enforcement. Continued use of services constitutes acceptance of modified terms.

Agreement: By signing a contract or making payment to Astro-Techs, the Client agrees to these Terms & Conditions in their entirety.

Governing Law: These terms are governed by the laws of Uganda. Any disputes shall be resolved in the courts of Uganda.
